* Generally, New Mountain Senior Advisors are similar to "Operating Partners" who provide general or specific industry expertise on particular projects or transactions. David Vise is a full time employee at New Mountain, while the others are legally classified as independent consultants. A majority of New Mountain's Senior Advisors - including Harry Durity, Rajiv Gupta, Lawrence Jackson and David Vise are designated as "access persons" pursuant to Rule 204A-1 under the Investment Advisers Act of 1940, as amended, (the "Advisers Act") and are subject to New Mountain's Code of Ethics, which therefore allows them to be fully included in New Mountain's investment reviews. Based on a variety of factors, Fox Benton, Frank Carolan, Judd Gregg and Frederic Salerno are designated as "non-access persons" and are not subject to New Mountain's Code of Ethics, which results in more limited or specialized roles. New Mountain engages four additional consultant Senior Advisors, Alok Singh, Robert Grusky, Michael Flaherman and Paul Black (who is a Senior Advisor to NMFC only), each of whom is designated as "non-access", as they are non-exclusive to New Mountain and also engage in unrelated investment activities in connection with either their firm or other third parties.

Michael Flaherman, Senior Advisor, joined New Mountain as an employee in 2003. Before joining New Mountain, Mr. Flaherman most recently served as Chairman of the Investment Committee of CalPERS, the nation's largest pension system. In his capacity as Chairman, Mr. Flaherman led board decision-making on all aspects of CalPERS' investment strategy, including asset allocation, as well as CalPERS' investment program in domestic and international equity and fixed income, real estate and private equity. His role also included oversight responsibility of CalPERS' investment operations, comprising 130 investment staff and nearly 300 external investment manager and consultant relationships. At the end of 2010, Mr. Flaherman transitioned from an employee to a non-exclusive Senior Advisor of New Mountain, which allows him to continue to provide consulting services to New Mountain while also pursuing outside interests. Mr. Flaherman is a graduate of Harvard College and has a master's degree in City Planning from the Massachusetts Institute of Technology (MIT) in 1992. He is a former Director of National Medical Health Card Systems, Inc. and a Director of Ikaria Holdings, Inc.
